3. User Eligibility

To use our services, you must:

• Be at least 18 years of age or have parental/guardian consent
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete information during registration
• Comply with all applicable laws and regulations

4. Service Agreement

4.1 Contract Formation

A binding contract is formed when you accept our service proposal or sign a service agreement. The specific terms of service, deliverables, timelines, and pricing will be outlined in the individual service agreement.

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that may affect your existing services.

4.3 Service Limitations

While we strive for excellence, we cannot guarantee specific results such as subscriber counts, view numbers, revenue amounts, or search rankings. Digital platform algorithms and policies are beyond our control.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate information and necessary access to platforms
• Own or have proper rights to all content provided to us
• Comply with all platform policies (YouTube, Spotify, etc.)
• Respond to our communications in a timely manner
• Pay all fees as agreed in the service contract
• Not engage in fraudulent or illegal activities

6. Intellectual Property Rights

6.1 Client Content

You retain all ownership rights to your original content. By using our services, you grant us a limited license to use, modify, and distribute your content solely for the purpose of providing our services.

6.2 Company Materials

All materials, tools, templates, and methodologies developed by MarsOrbit Entertainment remain our intellectual property. Clients receive a license to use deliverables as specified in the service agreement.

6.3 Third-Party Content

You are responsible for ensuring you have proper rights to any third-party content (music, images, footage) used in your projects. We are not liable for copyright infringement arising from client-provided content.

7. Payment Terms

7.1 Fees and Billing

Service fees are outlined in individual service agreements. Payment terms may include:

• One-time project fees
• Monthly retainer agreements
• Revenue-sharing arrangements
• Commission-based compensation

7.2 Payment Methods

We accept payments via bank transfer, UPI, credit/debit cards, and other methods as specified in the service agreement.

7.3 Late Payments

Late payments may result in service suspension and may incur late fees as specified in the service agreement. We reserve the right to terminate services for non-payment.

7.4 Refund Policy

Refunds are handled on a case-by-case basis as outlined in individual service agreements. Generally, fees for completed work are non-refundable.

8. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of business. This includes but is not limited to:

• Business strategies and plans
• Financial information
• Proprietary methodologies
• Unreleased content
• Platform access credentials

9. Copyright and Content ID Services

When providing copyright protection services, we:

• Act as your authorized representative for content protection
• Submit content to Content ID systems on your behalf
• Monitor and manage copyright claims
• Require proper documentation of content ownership

You warrant that you own or have proper rights to all content submitted for protection.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid for the specific service
• We are not responsible for platform policy changes or account suspensions
• We are not liable for loss of revenue, data, or business opportunities

11. Indemnification

You agree to indemnify and hold harmless MarsOrbit Entertainment from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of platform policies
• Copyright infringement of your content
• Your illegal or fraudulent activities

12. Termination

12.1 Termination by Client

You may terminate services by providing written notice as specified in the service agreement. Fees for work completed up to the termination date remain due.

12.2 Termination by Company

We may terminate services immediately if you:

• Violate these Terms
• Fail to pay fees
• Engage in illegal activities
• Provide false information

13. Platform Compliance

You agree to comply with all policies of platforms we work with, including:

• YouTube Terms of Service and Community Guidelines
• Google AdSense Program Policies
• Spotify Terms and Conditions
• Apple Music Guidelines
• Facebook/Instagram Community Standards

We are not responsible for account suspensions or terminations resulting from policy violations.

14. Warranties and Disclaimers

We provide services "as is" without warranties of any kind. We do not warrant that:

• Services will be uninterrupted or error-free
• Results will meet your expectations
• All errors will be corrected
• Platform policies will remain unchanged

15. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy. We collect, use, and protect your data as described in our Privacy Policy.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

16.2 Arbitration

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes may be resolved through arbitration as per Indian Arbitration and Conciliation Act.

17. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or platform policy changes.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of services after changes constitutes acceptance of modified Terms.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and MarsOrbit Entertainment.
